These Terms of Service ("Terms") govern your access to and use of HoaPro (the "Service"), operated by HoaPro ("we", "us", or "our") and available at https://hoapro.ai. By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a homeowners association or other organization, you represent that you have authority to bind that organization to these Terms.
HoaPro provides software tools that help homeowners associations and their communities operate — including announcements, voting, maintenance requests, architecture applications, meetings, tasks, unit records, directories, vendor lists, marketplaces, document storage, and related features. We may add, change, or remove features over time.
You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity under your account.
Access within the Service is role-based. Association administrators control which members of their community are invited and what roles they hold. We are not responsible for access decisions made by your association’s administrators.
Certain features require a paid subscription, billed to the association through our payment processor, Stripe. By subscribing, you authorize recurring charges at the then-current rate for your plan until the subscription is cancelled.
Subscriptions can be cancelled at any time through the billing portal; cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable.
Your association and its members retain ownership of the content you submit to the Service — announcements, documents, images, listings, records, and similar materials ("Content"). You grant us a limited license to host, store, display, and process Content solely to provide the Service.
You are responsible for your Content and must have the rights necessary to share it. We may remove Content that violates these Terms or applicable law.

The Service provides tools for association voting and record-keeping. Your association is responsible for ensuring that its use of these tools complies with its governing documents and applicable law, including any requirements for notice, quorum, or ballot format. HoaPro does not provide legal advice.
The Service, including its software, design, and branding, is owned by HoaPro and protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights in the Service are granted to you.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
To the maximum extent permitted by law, HoaPro will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim arising out of these Terms or the Service will not exceed the amounts paid by your association to us in the twelve months preceding the claim.
You may stop using the Service at any time. We may suspend or terminate access to the Service for violation of these Terms, non-payment, or where required by law. Upon termination, your association may request an export of its Content within a reasonable period.
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by email before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Any dispute arising under these Terms will be resolved in the state or federal courts located in Loudoun County, Virginia.
